Crypto, blockchain, DAO, DEFI, are terms that are more and more famous, especially in the financial market, previously considered by many for currency evasion operations, quick earnings and even for committing virtual crimes and financial pyramids, today are increasingly commonplace and Brazil is one of the major sponsors in the governance of these assets compared to other countries.
In view of this quick scenario, it is worth mentioning that operations in crypto assets are 24 hours a day, 7 days a week and have no borders (unlike Bovespa and other exchanges in the world that operate during business hours) there are advances in the standardization of crypto assets in Brazil.
These are the result of the security that exists in the regulator, with Law 14478/22 which provides for guidelines for the provision of virtual assets and the consequent regulation of service providers, which made several changes, especially in the criminal sphere, be it in the criminal code itself and in the Brazilian AML Act.
But what is this law for and what impact does it have? The law itself, right in its first article, repeats what has already been mentioned in the previous paragraph and emphasizes that it does not change any competence of the CVM (Brazilian Sec) nor the definitions of securities assets. Therefore, it serves as a basis for definitions and limitations, such as:
- Virtual asset service providers can only operate in Brazil with prior authorization from a body or entity of the Federal Public Administration, in this case the Central Bank of Brazil (which will carry out all the parameterization and concession, including in a simplified way).
- Definition of virtual asset: digital representation of value that can be traded or transferred electronically to make payments or investments, with some exceptions: national or foreign currencies (including FIAT currencies: the legal currency of any country in which it is printed and issued by the government and the Central Bank).
- Loyalty programs (cashback, points, miles) as well as financial assets and real estate securities are not considered crypto.
In this conceptual panorama, the Central Bank, according to decree 11563 (legal framework for cryptocurrencies), will be responsible for establishing which financial assets are regulated by law and following its precepts, in terms of governance, the law, in its article fourth provides for the provision of services, which must at least observe: Free initiative and free competition, good governance practices, transparency in operations and a risk-based approach (Compliance and FATF), information security and protection of personal data (LGPD), protection and defense of consumers and users (consumer protection code) protection of popular savings and solidity and efficiency of operations, last but not least: AML - anti money laundering and financing of terrorism and the proliferation of weapons of mass destruction, in line with international standards.
The impacts of non-compliance with governance may lead, among others, to sanctioning administrative proceedings at the BACEN and CVM spheres, as provided for in Law 13506/17, including the possibility of canceling operating permits.
Even with the definitions of service providers (exchanges), financial institutions already authorized to operate will be able to commercialize the virtual asset service exclusively or combine it with other activities and will still have deadlines and conditions of over six months for adequacy.
In its final part, regarding regulatory changes with a criminal impact, there are some points highlighted, among others:
A - insertion of article 171-A in the Brazilian criminal code, which will have the following wording:
"Fraud using virtual assets, securities or financial assets
Art. 171-A. Organizing, managing, offering or distributing portfolios or intermediating operations involving virtual assets, securities or any financial assets in order to obtain an illicit advantage, to the detriment of others, inducing or keeping someone in error, through artifice, ruse or any other fraudulent means .”
Penalty - imprisonment, from 4 (four) to 8 (eight) years, and a fine."
B- Article one, paragraph four, of the law on crimes of money laundering:
"§ 4 The penalty will be increased from 1/3 (one third) to 2/3 (two thirds) if the crimes defined in this Law are committed repeatedly, through a criminal organization or through the use of virtual assets."
Finally, with the need to regulate this law, Decree 11563/23 provides that the Central Bank of Brazil will be the competent body to regulate this market, which is a security point for investors who will be able to consult whether the company has registration with the agency, generating more confidence in operations within digital asset brokerages (Vaps) and greater competitiveness.
There is a lot to develop, however, Compliance Officer, the dynamics and knowledge already applied in financial transactions, due diligence, KYC, governance, tend to be increasingly technological, analyzing global operations (much faster than in the foreign exchange market) and when working within a digital asset brokerage, good governance will be fundamental to the success of the business. It is the future and we are still at the very beginning of the journey, whether in Brazil or in the world, the knowledge of the usual norms of the FATF recommendations (especially the very subjective risk-based approach) together with the listing of cryptoassets, their origins must increasingly focus on norms such as OFAC sanctions, mitigating tax evasion and transactions with sanctioned countries to generate reliability including the final consumer and credibility in the global market.
Cripto, blockchain, DAO, DEFI, são termos que cada vez mais famosos, especialmente no mercado financeiro, antes considerados por muitos para operações de evasão de divisas, ganhos rápidos e até mesmo para cometimento de crimes virtuais e pirâmides financeiras, hoje são atividades cada vez mais corriqueiras e o Brasil sai como um dos grandes patrocinadores na governança destes ativos se comparado com outros países.
Diante deste cenário rápido, vale dizer que as operações em criptoativos são 24 horas, 7 dias por semana e não possuem fronteiras (diferentemente da Bovespa e demais bolsas do mundo que funcionam em horário comercial) existem os avanços da normatização de criptoativos no Brasil.
Estes são resultado da segurança que existe no regulador, com a lei 14478/22 que dispõe sobre as diretrizes na prestação de ativos virtuais e consequente regulamentação das prestadoras de serviços fez diversas alterações, especialmente no âmbito criminal, seja este no próprio código penal, na lei dos crimes de lavagem de dinheiro e até mesmo sobre os crimes contra o sistema financeiro nacional.
Mas para que serve esta lei e qual o impacto dela? A lei em si, logo em seu artigo primeiro, repete o que já foi mencionado no parágrafo anterior e ressalta que não altera qualquer competência da CVM e tampouco das definições dos ativos de valores mobiliários. Sendo assim, ela serve de base de definições e limitações, tais quais:
- As prestadoras de serviços de ativos virtuais somente poderão funcionar no Brasil mediante prévia autorização de órgão ou entidade da Administração Pública federal, neste caso Banco Central do Brasil (que fará toda parametrização e concessão inclusive de forma simplificada).
- Definição de ativo virtual: representação digital de valor que pode ser negociado ou transferido por meios eletrônicos para realização de pagamentos ou investimentos, com algumas exceções: moedas nacionais ou estrangeiras (inclusive as moedas FIAT: a moeda legal de qualquer país em que é impressa e emitida pelo governo e o Banco Central).
- Programas de fidelidade (cashback, pontos, milhas) e bem como ativos financeiros e valores imobiliários não são considerados criptoativos.
Neste panorama conceitual, ainda, o Banco Central, conforme decreto 11563 (marco legal das criptomoedas), terá a responsabilidade de estabelecer quais serão os ativos financeiros regulados pela lei e, seguindo seus preceitos, no quesito de governança, a lei, em seu artigo quarto, dispõe sobre a prestação de serviços, que minimamente deve observar: a livre iniciativa e livre concorrência, ter boas práticas de governança, transparência nas operações e abordagem baseada em riscos (Compliance e GAFI), segurança da informação e proteção de dados pessoais (LGPD), proteção e defesa de consumidores e usuários (código de defesa do consumidor), proteção à poupança popular e solidez e eficiência das operações, por fim, não menos importante: PLD - prevenção à lavagem de dinheiro e ao financiamento do terrorismo e da proliferação de armas de destruição em massa, em alinhamento com os padrões internacionais.
Os impactos de não cumprimento da governança podem acarretar, entre outros, processo administrativo sancionador nas esferas do BACEN e da CVM, conforme dispõe a lei 13506/17, inclusive podendo cancelar as autorizações de funcionamento.
Mesmo com as definições das prestadoras de serviços (exchanges), as instituições financeiras já autorizadas a funcionar poderão comercializar exclusivamente o serviço de ativos virtuais ou cumulá-lo com outras atividades e ainda terão prazos e condições acima de seis meses para adequação.
Em sua parte final, no quesito alterações normativas de impacto criminal, há alguns pontos em destaque, dentre outros:
A- inserção do artigo 171-A no código penal brasileiro, que terá a seguinte redação:
"Fraude com a utilização de ativos virtuais, valores mobiliários ou ativos financeiros
Art. 171-A. Organizar, gerir, ofertar ou distribuir carteiras ou intermediar operações que envolvam ativos virtuais, valores mobiliários ou quaisquer ativos financeiros com o fim de obter vantagem ilícita, em prejuízo alheio, induzindo ou mantendo alguém em erro, mediante artifício, ardil ou qualquer outro meio fraudulento.”
Pena - reclusão, de 4 (quatro) a 8 (oito) anos, e multa."
B- Artigo primeiro, parágrafo quarto, da lei dos crimes de lavagem de dinheiro:
“§ 4º A pena será aumentada de 1/3 (um terço) a 2/3 (dois terços) se os crimes definidos nesta Lei forem cometidos de forma reiterada, por intermédio de organização criminosa ou por meio da utilização de ativo virtual.”
Por fim, com a necessidade de ser regular esta lei, o decreto 11563/23 dispõe que o Banco Central do Brasil será o órgão competente para regular sobre este mercado, sendo este um ponto de segurança para investidores que poderão consultar se a empresa tem registro junto ao órgão, gerando mais confiança nas operações dentro das corretoras de ativos digitais (Vaps) e maior competitividade.
Há muito para se desenvolver, porém, Compliance Officer, a dinâmica e conhecimento já aplicados nas movimentações financeiras, due diligence, KYC, governança, tendem a ser cada vez mais tecnológico, analisando operações globais (bem mais rápidas que no mercado de câmbio) e ao atuar dentro de uma corretora de ativos digitais, realizar uma boa governança será fundamental para o sucesso do negócio. É o futuro e ainda estamos bem no início da jornada, seja no Brasil ou no mundo, o conhecimento de normas de praxe das recomendações do GAFI (especialmente a tão subjetiva abordagem baseada em risco) em conjunto com a listagem de criptoativos, suas origens deverão cada vez mais ter o foco de normas tais quais as de sanções da OFAC, mitigando evasão fiscal e transações com países sancionados para gerar confiabilidade inclusive do consumidor final e credibilidade no mercado global.
